2.1 Software provided “as is”

PowerFolio is provided strictly “as is” and “as available”, without warranty of any kind, whether express, implied, statutory, or otherwise. This includes, without limitation, any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

To the fullest extent permitted by applicable law, Julian Gnass expressly disclaims all warranties and conditions of any kind. You use PowerFolio entirely at your own risk.

2.2 Limitation of liability

In no event shall Julian Gnass be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, loss of data, business interruption, or loss of goodwill, arising out of or in connection with the use of or inability to use PowerFolio, even if advised of the possibility of such damages.

Where liability cannot be fully excluded under mandatory German or EU law (e.g. in cases of wilful misconduct or gross negligence causing personal injury), liability is limited to the amount paid by the user for the software licence in the twelve (12) months preceding the claim, or €50, whichever is lower.

2.3 Preview & beta status

PowerFolio is currently in a pre-release / beta stage. Features, pricing, export formats, template availability, and system requirements are subject to change at any time without prior notice. Nothing on this website or in the software constitutes a binding offer or guarantee of future functionality.

This page may contain links to third-party websites. Julian Gnass has no control over those sites and accepts no responsibility for their content, availability, or privacy practices. Links are provided for convenience only.

3. AI-Generated Imagery & No Real-Person Resemblance

3.1 Nature of images

All human figures, faces, character portraits, and scenarios depicted in PowerFolio marketing materials, example output files, and screenshots are either:

• AI-generated — created using generative machine-learning models (e.g. Stable Diffusion / FLUX variants) and do not represent any real, living, or deceased person; or
• Personal photographs taken by Julian Gnass or contributed by explicit consent of the individual depicted.

3.2 No resemblance intended

Any resemblance between AI-generated likenesses and real, living, or deceased persons is entirely coincidental and unintentional. No AI output on this site is intended to represent, impersonate, or be mistaken for any specific individual. If you believe an image constitutes an unlawful likeness of a real person, please contact julian.gnass@me.com for immediate review and removal.

3.3 Composite & derivative works

Where AI-generated images have been composed, arranged, and processed within PowerFolio, the resulting layout and design output constitutes a derivative creative work. The creative selection, arrangement, and presentation are the intellectual property of Julian Gnass. Rights in the underlying AI model outputs are subject to the respective model licences.

3.4 User-generated content

PowerFolio processes images supplied by the user locally on the user’s own device. You are solely responsible for ensuring that any images you process in PowerFolio comply with applicable law, including personality rights, copyright, and data protection obligations. Julian Gnass accepts no liability for unlawful use of third-party images.

4. No Endorsement or Affiliation

References to any professional industries, production companies, studios, organisations, or workflows (e.g. film & TV production, VFX, game development, casting) are made for illustrative purposes only. PowerFolio is an independent product.

No studio, broadcaster, games publisher, casting agency, or other commercial entity has endorsed, approved, sponsored, or affiliated itself with PowerFolio unless explicitly stated in a separate written agreement. Any third-party trademarks mentioned are the property of their respective owners.

The use of AI model names (Stable Diffusion, FLUX, ComfyUI, etc.) is for informational reference only. PowerFolio is not produced by, affiliated with, or endorsed by Stability AI, Black Forest Labs, or any other AI model developer.

5. Intellectual Property & Software Protection

5.1 Copyright

The PowerFolio software, its source code, compiled binaries, visual design, user interface, logo, documentation, and all associated creative assets are protected by copyright law (§§ 2, 69a UrhG and applicable EU Directive 2009/24/EC on the legal protection of computer programs). © 2024–2026 Julian Gnass. 5.2 Licence grant

Subject to payment of the applicable licence fee (Pro) or acceptance of the Free Tier terms, you are granted a personal, non-exclusive, non-transferable, revocable licence to use one (1) installed instance of PowerFolio on a device you own or control, solely for your own lawful personal or commercial creative purposes.

No rights are granted beyond those expressly stated herein.

5.3 Prohibited acts

You must not, and you must not allow any third party to:

• Copy, reproduce, or distribute the software or any portion of it, in source or object form, except as permitted by law;
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of PowerFolio, except to the extent expressly permitted by applicable law (§ 69e UrhG) and only after written notice to Julian Gnass;
• Modify, adapt, translate, or create derivative works based on the software;
• Rent, lease, sell, sublicence, transfer, or otherwise commercially exploit the software to third parties;
• Remove or alter any proprietary notices, labels, watermarks, or licence verification mechanisms embedded in the software;
• Use the software for any unlawful purpose, or in any way that violates applicable local, national, or international law.

5.4 Template & layout designs

The pre-built templates and layout designs bundled with PowerFolio are part of the software and are subject to the same intellectual property protections. You may use the output (the contact sheets you create) freely for personal or commercial projects. You may not extract or resell the template designs themselves as standalone products.

6. Free Tier vs. Pro Licence Terms

6.1 Free Tier

The Free Tier of PowerFolio is made available as a browser-based tool. No download is required. The Free Tier is provided at no charge, subject to the following conditions:

• Usage is subject to reasonable fair-use limits; automated or bulk processing is not permitted;
• Export options and template selection are limited as indicated within the application;
• The Free Tier may include a “Made with PowerFolio” watermark on exported files;
• The Free Tier is offered without any service-level guarantee and may be withdrawn, modified, or restricted at any time without prior notice;
• Commercial use of Free Tier output is permitted provided all applicable third-party rights (image licences, personality rights) have been cleared by the user.

6.2 Pro Licence

The Pro Licence is a one-time perpetual licence for a named version of PowerFolio. It grants the rights set out in § 5.2 above, plus:

• Access to all templates (16+ layouts at time of purchase, subject to update);
• Unrestricted local file processing and batch / Burst Mode;
• Full-resolution PDF, PNG, and JPG export at up to 300 DPI without watermark;
• All theme colour palettes and customisation options;
• Future minor-version updates within the purchased major version at no additional charge;
• Priority email support.

The Pro Licence does not include hosting, cloud storage, multi-seat deployment, or resale rights. A separate licence is required for each user.

6.3 Pricing

Current pricing is indicative and subject to change until a binding purchase flow is made available. The price stated on the promotional page at time of purchase constitutes the binding offer. All prices are shown in Euros (€) inclusive of applicable VAT where required by law [VAT treatment to be confirmed before sales go live].

6.4 Payment & delivery

Payment processing and licence key delivery details will be specified at the time of purchase. The software licence key constitutes the deliverable. No physical goods are shipped. [Payment provider / platform to be confirmed]

7. Datenschutz / Privacy (DSGVO · GDPR)

7.1 Responsibility

7.2 Data we collect — this promotional website

This promotional website is a static HTML page. It does not set cookies, does not embed third-party trackers, and does not collect personal data through forms beyond what your browser sends with any standard HTTP request (IP address, user agent, referrer). Server access logs, if any, are managed by the hosting provider and retained per their standard retention policies.

Google Fonts are loaded directly from Google servers. Google may process connection data (IP address, browser) as described in Google’s privacy policy. Where required by law, a self-hosted fallback will be implemented.

7.3 Data we collect — PowerFolio desktop application

PowerFolio is a local desktop application. It processes all files and images on your own device only. No images, project files, or personal information are transmitted to any remote server by the software itself.

If a licence verification step is introduced in future, only the minimum data necessary (licence key hash, platform type) will be transmitted. This notice will be updated accordingly before any such feature ships.

7.4 Contact & enquiries

If you contact Julian Gnass by email, your name and email address will be used solely to respond to your enquiry and will not be shared with third parties or used for marketing without your explicit consent. Data is retained only as long as necessary to handle the enquiry.

7.5 Your rights (DSGVO Art. 15–22)

You have the right to:

• Request access to any personal data held about you (Art. 15 DSGVO);
• Request rectification of inaccurate data (Art. 16 DSGVO);
• Request erasure (“right to be forgotten”, Art. 17 DSGVO);
• Restrict processing of your data (Art. 18 DSGVO);
• Data portability (Art. 20 DSGVO);
• Object to processing (Art. 21 DSGVO);
• Lodge a complaint with the supervisory authority:
  Bayerisches Landesamt für Datenschutzaufsicht (BayLDA), Promenade 27, 91522 Ans­bach, Bayern.

A full Datenschutzerklärung will be published when commercial functionality (payment, account creation) is introduced.

8. Widerrufsbelehrung / Right of Withdrawal

German and EU consumer law grants consumers a 14-day right of withdrawal for distance contracts (§ 355 BGB; EU Directive 2011/83/EU).

Digital content exception: In accordance with § 356 Abs. 5 BGB, the right of withdrawal expires upon commencement of delivery of digital content (licence key / download link) provided the consumer has been informed of this and has given explicit prior consent. An appropriate consent mechanism will be implemented in the checkout flow before any commercial sales are made.

Until a commercial checkout is live, no binding purchase contracts are entered into and no withdrawal rights arise. The “SOON!” button on the promotional page does not constitute an offer capable of acceptance.

9. Changes to These Terms

Julian Gnass reserves the right to modify these legal notices at any time. Changes take effect upon publication of the revised version at this URL. The “Effective date” at the bottom of this page reflects the most recent revision.

For material changes that affect existing Pro Licence holders, notice will be given by email to the address associated with the licence purchase at least 30 days in advance, where practicable.

Continued use of the Free Tier or the PowerFolio application after a change is published constitutes acceptance of the revised terms.

10. Governing Law & Jurisdiction

These terms are governed by and construed in accordance with the laws of the Federal Republic of Germany, to the exclusion of its conflict-of-laws rules and to the exclusion of the UN Convention on Contracts for the International Sale of Goods (CISG), where permissible.

Mandatory consumer protection provisions of the country in which a consumer habitually resides (within the EU) are not affected by this choice of law.

The place of jurisdiction for all disputes arising out of or in connection with these terms or the use of PowerFolio is Munich (München), Bavaria, Germany, to the extent permitted by applicable law. EU consumers retain the right to bring proceedings in the courts of their country of habitual residence.

Online dispute resolution: The European Commission provides a platform for online dispute resolution (ODR) at ec.europa.eu/consumers/odr. Julian Gnass is not obliged to participate in ADR/ODR procedures but will engage in good faith where practicable.
